Terms of Service

1. Agreement to Terms & Eligibility

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you do not have permission to access the Service. You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to purchase a commercial license for Filoshi. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into a binding contract.

2. License Grant

Subject to your compliance with these Terms and payment of the applicable license fees, Synvor grants you a personal, lifetime, non-exclusive, non-transferable, and revocable license to download, install, and use the Filoshi desktop software on your personal devices solely for your personal, non-commercial, or internal business purposes. This license does not grant you any rights to the source code of the software.

3. Prohibited Conduct

The Licensee shall not:

• Resell, redistribute, sub-license, rent, or lease the Filoshi application.
• Decompile, reverse engineer, or attempt to derive the source code of the software.
• Use the software as a backend to operate a competing cloud-based conversion service or API.
• Remove, alter, or obscure any copyright, trademark, or other proprietary notices.
• Use Filoshi in any way that violates applicable laws, regulations, or third-party rights.

Violation of these restrictions may result in immediate termination of your license without refund.

4. Intellectual Property Rights

The Service, including the Filoshi software, website, design, branding, and all underlying intellectual property rights, are the exclusive property of Synvor and its licensors. These Terms do not convey to you any ownership rights in the Service. You agree not to remove, obscure, or alter any copyright, trademark, or other proprietary rights notices affixed to or contained within the software.

5. Payment, Pricing, & Taxes

All payments for Filoshi licenses are processed securely through our authorized Merchant of Record, Polar. By providing a payment method, you represent that you are authorized to use it. Prices are subject to change at our discretion, but any changes will not affect past purchases. You are responsible for all applicable taxes, levies, or duties imposed by taxing authorities in your jurisdiction based on your purchase, except for taxes based on our net income. Polar will collect and remit taxes where required by law.

6. No Refund Policy

Due to the digital, instantly downloadable nature of the Filoshi software, all sales are strictly final and non-refundable. Once a license key is issued and the software is downloaded, we cannot revoke access to the binary. By completing your purchase, you acknowledge and agree to this no-refund policy. We strongly recommend reviewing the software's capabilities and system requirements on our website prior to purchase.

7. Disclaimer of Warranties

THE SERVICE AND SOFTWARE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, SYNVOR EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, SECURE, OR FREE FROM VIRUSES, NOR DO WE GUARANTEE THAT ANY SPECIFIC FILE CONVERSION WILL BE SUCCESSFUL OR WITHOUT DATA LOSS.

8. Limitation of Liability

IN NO EVENT SHALL SYNVOR, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; AND (IV) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID TO US FOR THE SOFTWARE LICENSE (E.G., $14.90).

9. Indemnification

You agree to defend, indemnify, and hold harmless Synvor, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service, including, but not limited to, any use of the software's output other than as expressly authorized in these Terms, or your use of any information obtained from the Service.

10. Governing Law & Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which Synvor is established, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in our jurisdiction. You agree to submit to the personal jurisdiction of such courts and waive any objections to such jurisdiction or venue. We reserve the right to seek injunctive relief in any jurisdiction to prevent intellectual property infringement or unauthorized use of the software.
